# Terms and Conditions These are the terms and conditions that apply to the marketing campaign promoted by Cashflows Europe Limited (“Cashflows”) and on which you agree to be bound. 1. The campaign is open to all businesses who operate as Independent Software Vendors (ISVs). 2. The campaign is free to enter and no purchase is necessary. 3. Entries may be submitted online or by phone and only one entry for each ISV is permitted. 4. Cashflows accepts no responsibility for entries not successfully completed due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind. 5. Cashflows will make an approximate calculation of commission that the ISV could earn from a referral deal with Cashflows. If this amount is less than the commission earned by the ISV under its existing referral partner, Cashflows will give the ISV an Amazon voucher worth £75 (the “Voucher”). 6. The ISV must be prepared to share details of its existing referral arrangements in order for Cashflows to calculate an approximate commission value based on information provided to it from the ISV. 7. If Cashflows is unable to calculate an approximate commission due to a lack of information from the ISV (as determined by Cashflows), the ISV will not be entitled to the Voucher. 8. The calculation presented to the ISV in 5. is an approximation only, and is not a guaranteed rate offered by Cashflows. 9. If the ISV wishes to discuss the approximate commission rate presented in 5. and other services offered by Cashflows, the ISV must enter into a confidentiality agreement with Cashflows. 10. The Voucher will be sent to the ISV by email to an email address provided to Cashflows within 30 days of being notified of the decision. 11. The Voucher is non-exchangeable, non-transferable and no cash alternative is offered. 12. Cashflows reserves the right to replace the Voucher with an alternative voucher of equal or higher value. 13. The decision of Cashflows regarding the award of the Voucher is final and binding and no correspondence will be entered into on its subject. 14. ISVs are deemed to have accepted and agreed to be bound by these terms and conditions upon entry. 15. Cashflows reserves the right to hold void, cancel, suspend, or amend the promotion at its sole discretion. 16.
